**Website Development Contract**

This Website Development Contract (“Contract”) is entered into between BinawebKu (GLMTglobal Resources) , hereinafter referred to as the “Developer,” and BinawebKu’s Clients, hereinafter referred to as the “Client,” collectively referred to as the “Parties.”

**Project Description:**

1. **Scope of Work:** The Client agrees to hire the Developer to design, develop, and deliver a website according to the specifications outlined in the attached project proposal, as dated Agreed for both Parties, which is hereby incorporated into this Contract.

2. **Timeline:** The Parties agree to the project timeline specified in the project proposal. Any changes to the timeline will be mutually agreed upon in writing (via any conversation’s channel).

**Payment:**

3. **Fees:** The Client agrees to pay the Developer the total project cost of [Insert Total Project Cost], as outlined in the project proposal, in accordance with the following payment schedule:

   – DEPOSIT: 70% Upon Start Development (after demo web was agreed)

   – BALANCE: 30% UPON HANDOVER (before the login credential)

4. **Payment Method:** Payments will be made (through website binawebku.com via given link or CIMB Bank Acoount under: GLM HYPERCARE RESOURCES ACC NO: 8603846886) to the Developer’s account provided in the project proposal.

5. **Late Payment:** In case of late payment, we will hold on all the credential Login for your website.

**Ownership and Intellectual Property:**

6. **Ownership:** Upon full payment, the Client will own the rights to the website design and code, excluding any third-party components or software used, which may be subject to their respective licenses.

**Changes and Revisions:**

7. **Change Requests:** Any changes or additions to the project scope must be agreed upon in writing (via any conversation’s channel) and may result in additional fees and timeline adjustments.

**Warranty and Support:**

8. **Warranty:** The Developer provides a 1 Year warranty on all work delivered. During this period, the Developer will address and rectify any defects or issues arising from the development process at no additional cost.

9. **Support:** After the warranty period, the Client may engage the Developer for ongoing support and maintenance services, subject to a separate agreement and fees. (but not for additional Graphics/ any new component delivery)

**Confidentiality:**

10. **Confidentiality:** Both Parties agree to keep all project-related information and materials confidential.

**Termination:**

11. **Termination:** Either Party may terminate this Contract with written notice if the other Party fails to fulfill its obligations, subject to a cure period.

(A) Breach Due to Hiring Another Party:

If the Client engages another person, entity, or third party (hereinafter referred to as the “Third Party”) to make adjustments, modifications, or perform tasks related to the website development work previously undertaken by the Developer, without obtaining the prior written consent of the Developer, such action shall be considered a material breach of this Contract. In the event of such breach, the Developer reserves the right to terminate this Contract immediately and seek any available legal remedies, including but not limited to pursuing compensation for any damages or losses incurred as a result of the breach. The Client shall remain responsible for fulfilling all payment obligations as outlined in this Contract, regardless of the termination. Any fees associated with remedying or reversing the actions taken by the Third Party shall be borne by the Client.

**Entire Agreement:**

12. **Entire Agreement:** This Contract represents the entire understanding between the Parties and supersedes any prior agreements or understandings, whether written or oral.

**Governing Law:**

13. **Governing Law:** This Contract shall be governed by and construed in accordance with the laws of , without regard to its conflict of laws principles.

**Validity:**

This contract is valid and active on the date when the deposit payment is made
